📋 Steps to Establish Yourself in Spain
1. Choice of Legal Form:
- Subsidiary: Independent legal entity (S.L. or S.A.). Limited liability.
- Branch: Secondary establishment without its own legal personality. Dependent on the parent company.
- Representative Office: Only for auxiliary or promotional activities. Cannot carry out economic activity.
2. Incorporation Procedures:
- Obtaining provisional NIF
- Negative name certification (Commercial Registry)
- Opening bank account and deposit of share capital (min. €3,000 for S.L.)
- Execution of public deed before a notary
- Registration in the Commercial Registry
- Obtaining definitive NIF
3. Tax and Labor Obligations:
- Registration with Tax Authorities (IAE, VAT)
- Registration with Social Security (CCC)
- Communication of workplace opening
📄 Required Documentation
From the Parent Company (Foreign):
- Deed of incorporation and current bylaws
- Certificate from the Commercial Registry of origin (existence and validity)
- Agreement of the governing body approving the creation of the subsidiary/branch in Spain
- Appointment of legal representative in Spain
- Powers of attorney in favor of the representative in Spain
From the Legal Representative:
- NIE (Foreigner Identity Number)
- Copy of passport
- If it is a legal entity, its deeds and powers of attorney
Important:
- All foreign documents must be translated by a sworn translator
- All documents must be legalized or apostilled (Hague)
- It is necessary to obtain NIE for foreign administrators, even if they do not reside in Spain
